Welcome to Alt Audit, an AI-powered accessibility service that generates descriptive alt text for images and provides website accessibility auditing tools. These Terms of Service ("Terms") govern your use of our platform, API, WordPress plugin, and related services (collectively, the "Service").

1.2 Acceptance of Terms

By accessing, using, or creating an account with Alt Audit, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these terms, you may not access or use our Service.

1.3 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through our Service at least 30 days before the effective date. Continued use of the Service after changes become effective constitutes acceptance of the new Terms.

2. Service Description & Usage Policies

Alt Audit provides AI-powered accessibility services including:

• Automated alt text generation using Google Gemini AI
• Website accessibility auditing and compliance reporting
• API access for custom integrations
• WordPress plugin for seamless content management
• Analytics and usage tracking tools

2.2 Acceptable Use Policy

You agree to use our Service only for lawful purposes and in accordance with these Terms. You may not:

• Upload content that violates intellectual property rights
• Process images containing illegal, harmful, or inappropriate content
• Attempt to reverse engineer or circumvent our AI models
• Use the Service to spam, harass, or distribute malware
• Violate any applicable laws or regulations

2.3 API Usage Terms

API access is subject to rate limiting and fair use policies. Current limits include:

• Maximum 1,000 requests per hour per API token
• Maximum 10MB file size per image upload
• Supported formats: JPEG, PNG, WebP, GIF
• Credit consumption based on subscription plan

2.4 WordPress Plugin Guidelines

Our WordPress plugin requires a valid Alt Audit account and API token. The plugin operates under your account's credit limits and usage policies. You are responsible for keeping your API credentials secure.

3. User Accounts & Responsibilities

3.1 Account Creation

To use our Service, you must create an account and provide accurate, complete information. You must be at least 18 years old or have parental consent to use our Service. Business accounts must be authorized by someone with authority to bind the organization.

3.2 Account Security

You are responsible for maintaining the security of your account credentials, API tokens, and any activities that occur under your account. You must immediately notify us of any unauthorized access or security breaches.

3.3 Accurate Information

You agree to provide and maintain accurate, current, and complete information in your account profile. This includes billing information, contact details, and usage requirements for accurate service delivery.

3.4 Content Ownership and Licensing

You retain ownership of all images and content you upload to our Service. By using our Service, you grant Alt Audit a limited, non-exclusive license to process your content for the purpose of providing alt text generation and accessibility services.

4. Billing & Payment Terms

4.1 Subscription Plans

Alt Audit offers various subscription plans and credit packages:

• Free Tier: 25 credits per month, no credit card required
• Paid Plans: Starting at $7/month with increasing credit allocations
• Credit Packs: One-time purchases from $19 to $149
• Enterprise: Custom pricing for high-volume users

4.2 Billing Cycles and Payment

Subscription fees are billed monthly or annually in advance. Payment is processed through Paddle, our secure payment processor. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing cycle unless cancelled at least 24 hours before renewal. You may cancel your subscription at any time through your account dashboard.

4.4 Price Changes

We may change our pricing with 30 days' notice. Price changes will not affect your current billing cycle but will apply to subsequent renewals unless you cancel before the change takes effect.

4.5 Refund Policy

Refunds are generally not provided for unused credits or subscription fees. However, we may provide refunds at our discretion for technical issues, billing errors, or within 14 days of initial subscription for new customers who have used fewer than 25 credits. 5. Intellectual Property

5.1 Alt Audit's Intellectual Property

The Alt Audit platform, including our software, algorithms, user interface, documentation, and branding, is owned by Alt Audit and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

5.2 User Content Licensing

You grant Alt Audit a worldwide, non-exclusive, royalty-free license to use, process, and analyze your uploaded content solely for providing our services. This license terminates when you delete your content or close your account.

5.3 Generated Alt Text

Alt text generated by our AI service is provided to you under a non-exclusive license. You may use, modify, and distribute the generated alt text for your websites and applications without restriction.

5.4 Third-Party Intellectual Property

You are responsible for ensuring that any content you upload does not infringe on third-party intellectual property rights. We will respond to valid DMCA takedown notices in accordance with applicable law.

5.5 Open Source Acknowledgments

Our Service incorporates open source software components. A complete list of open source licenses and attributions is available in our documentation and upon request.

6. Liability Limitations & Disclaimers

6.1 Service Availability

We strive to maintain high availability but cannot guarantee uninterrupted service. Our Service is provided "as is" and "as available" without warranties of any kind, express or implied.

6.2 AI-Generated Content Limitations

6.3 Limitation of Liability

To the maximum extent permitted by law, Alt Audit's total liability for any claims arising from or related to our Service shall not exceed the amount paid by you for the Service during the 12 months preceding the claim.

You agree to indemnify and hold Alt Audit harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

6.5 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, government actions, or third-party service disruptions.

7. Privacy & Data Protection

7.2 Data Processing for Service Delivery

We process your images using Google Gemini AI to provide alt text generation. Images are accessed temporarily via their URL, processed securely, and the image data is immediately discarded. We store only the image URL reference and the generated alt text.

7.3 Data Retention

We retain your account information and usage analytics for as long as your account is active plus 90 days after account closure for legal and business purposes. Generated alt text is stored until you delete it or close your account.

7.4 GDPR Compliance

For users in the European Union, we comply with the General Data Protection Regulation (GDPR). You have rights to access, rectify, erase, and port your personal data. Contact us to exercise these rights.

8. Accessibility Compliance

8.3 User Responsibilities

While we provide tools to help with accessibility, you are ultimately responsible for ensuring your websites and content meet applicable accessibility standards and legal requirements in your jurisdiction.

9. Termination & Suspension

9.1 Termination Rights

Either party may terminate this agreement at any time. You may close your account through your dashboard settings. We may terminate accounts for violation of these Terms, illegal activity, or abuse of our Service.

9.2 Account Suspension

We may temporarily suspend accounts for suspected violations, billing issues, or technical problems. We will notify you of suspensions and provide an opportunity to resolve issues when possible.

9.3 Data Retention After Termination

After account termination, we will retain your data for 90 days to allow for account recovery. After this period, your data will be permanently deleted except for information we are required to retain by law.

9.4 Refund Policy Upon Termination

If we terminate your account for cause, no refunds will be provided. If you terminate your account, you may be eligible for a prorated refund of unused subscription time at our discretion.

9.5 Survival of Terms

Sections relating to intellectual property, liability limitations, indemnification, and dispute resolution will survive termination of these Terms.

10. Legal Framework

10.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any legal action must be brought in the state or federal courts located in Delaware.

10.2 Dispute Resolution

We encourage resolving disputes through direct communication. If formal resolution is needed, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association.

10.3 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class action lawsuits or representative actions, except where prohibited by law.

10.4 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Invalid provisions will be modified to be enforceable while preserving their intent.

10.5 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Alt Audit regarding use of our Service and supersede all prior agreements and understandings.
